About the role

KPMG's Deal Strategy - Value Creation group is a market leader in Spain in strategic advisory, counting among our clients the main private equity funds and institutional investors present in the market, as well as corporations and associations.

We are looking for a Manager to lead technology due diligence projects in M&A processes, on both the buy side and the sell side. The goal is to maximize value and minimize technology risks in transactions, aligning technology with business strategy and its impact on EBITDA.

You will work closely with Private Equity funds, senior management, and cross-functional teams to assess the strategic and operational impact of technology in transactions.
This role is ideal for someone with experience leading due diligence projects and developing strategic recommendations for technology-driven growth and operational efficiency.

What you'll do

What will you be able to do?

Buy-side projects:

  • Analyze in depth the technology environment of the target asset (infrastructure, systems, software architecture, cybersecurity, data strategy, etc.)
  • Identify and uncover technology risks that could negatively affect the business, operations, and the profit and loss statement (P&L)
  • Assess the degree of alignment between technology and the buyer's strategic objectives
  • Recommend actions to mitigate risks and optimize post-acquisition technology integration
  • Support integration and carve-out planning from a technology perspective

Sell-side projects:

  • Analyze and communicate how the asset's technology enhances differentiation and value in the market.
  • Identify and demonstrate the positive impact of technology on EBITDA and other relevant KPIs
  • Prepare materials and presentations that highlight technology strengths and their contribution to operational growth and efficiency.
  • Support the preparation of the company for the sale process, ensuring that technology is an attractive factor for potential buyers

What do you need to know?

  • 5-7 years of experience in consulting or in a technology company.
  • Experience in digital transformation, IT strategy, or M&A-related projects.
  • Mentor junior team members and contribute to their professional development.
  • Knowledge of major enterprise systems (ERP, CRM, BI, etc.) and current technology trends.
  • Familiarity with M&A concepts and the role of technology in transaction value will be valued.
  • Strong problem-solving, communication, and stakeholder management skills.
  • Ability to work in dynamic environments and manage multiple priorities.
  • Proficiency in PowerPoint and Excel; knowledge of tools such as Power BI, SQL, or Python will be valued.
