We are looking for a Legal Counsel to join Capgemini's legal team in Spain. The position combines two complementary areas of legal specialization: Business Lawyer and Corporate Lawyer.

What you'll do

  • Provide practical, business-oriented legal advice based on proper risk management.
  • Lead assigned legal matters, coordinating the internal areas involved and, when necessary, external advisors.
  • Identify legal and commercial risks, proposing proportional mitigation measures and escalating those matters that require additional review.
  • Ensure that legal documentation and recommendations issued comply with applicable regulations, corporate policies, and the Group's internal standards.
  • Collaborate closely with departments such as Finance, Tax, Human Resources, Compliance, Procurement, and General Counsel.
  • Participate in continuous improvement initiatives, internal training, knowledge management, and the adoption of legal and technological tools.

Review, draft, and negotiate contracts with clients, framework agreements, statements of work (SoW), collaboration agreements, supplier contracts, and non-disclosure agreements.

  • Advise throughout the entire commercial cycle, from the bidding and proposal phases to renewals, contractual modifications, or termination of services.
  • Analyze contractual risks related to liability, indemnities, warranties, intellectual property, data protection, cybersecurity, service levels, subcontracting, audits, and regulatory compliance.
  • Participate in strategic opportunities by supporting the business in defining balanced solutions from a legal and commercial perspective.
  • Provide support for internal approval processes and the legal validation of operations and contracts.
  • Advise on contractual interpretation, prevention of claims, and resolution of commercial disputes.

Advise on Spanish corporate law applicable to the various Group entities.

  • Prepare, review, and coordinate corporate agreements, minutes, certificates, powers of attorney, delegations, and corporate documentation.
  • Manage corporate obligations and coordinate procedures with notaries, commercial registries, and external advisors.
  • Participate in corporate reorganizations, mergers, acquisitions, divestitures, integrations, and other corporate operations.
  • Coordinate legal due diligence processes and support the execution of corporate transactions.
  • Advise on intra-group agreements, corporate guarantees, and corporate approvals linked to Group operations.
