The role
The selected person will join the Corporate Law team, within the Global M&A and Capital (GMAC) area, in our Madrid office.
They will participate in domestic and international M&A, private equity, corporate reorganizations, structural changes, and corporate governance matters. They will work in coordination with other practice areas and Freshfields offices and will progressively assume autonomous management of certain workstreams, direct client contact, and the supervision of junior lawyers.
What you'll do
Main responsibilities would include:
- Advising on M&A, private equity, and the sale and purchase of companies, businesses, and assets.
- Participation in domestic and cross-border transactions.
- Leading and coordinating due diligence processes.
- Drafting and negotiating sale and purchase agreements, investment agreements, shareholders' agreements, term sheets, and other transaction documents.
- Preparation and coordination of signings and closings.
- Ongoing advice on corporate law and corporate governance.
- Preparation of board meetings, councils, capital increases, powers of attorney, and other corporate documentation.
- Advising on reorganizations and structural changes.
- Coordination with clients, counterparties, regulators, and advisors in other jurisdictions.
- Autonomous management of workstreams and supervision of junior lawyers.
- Participation in business development and knowledge management initiatives.
