About the role

Are you a commercial lawyer with solid experience in M&A looking to make a strategic career move without giving up top-tier transactions? A leading law firm is seeking to hire a Senior Associate in Commercial Law to lead corporate advisory and special transactions work in Santa Cruz de Tenerife.

What you'll do

As the "engine" of the commercial department and reporting directly to the Partners, you will lead recurring advisory work and special transactions for the firm's client portfolio, taking responsibility for:

M&A Transactions: End-to-end leadership of corporate sale and purchase processes, from the Due Diligence phase (coordinating different practice areas) through to closing and post-closing (SPA, shareholders' agreements, warranties).

Corporate Governance: Proactive advice to boards of directors, drafting of minutes, certifications, and compliance with filing obligations for corporate groups.

Restructuring and Investment: Execution of mergers, demergers, and non-cash contributions, as well as advising on investment rounds and venture capital entry.

International Contracting: Negotiation and drafting of complex contracts in English (Joint Ventures, distribution, licensing), leveraging the benefits of the REF framework and the Canary Islands Special Zone (ZEC).

Client and Team Management: Direct liaison with CEOs, CFOs, and business owners as their trusted advisor, while also delegating to, reviewing the work of, and training the junior lawyers in the team.

Requirements

Education: Law Degree (Licenciatura/Grado en Derecho). A Master's in Corporate Legal Advisory from a prestigious business school (IE, ISDE, Centro de Estudios Garrigues or similar) will be highly valued.

Minimum Experience: Between 5 and 8 years of hands-on experience in the commercial departments of prestigious law firms (Big Four, national firms, or top-tier boutiques).

Languages: Advanced legal English (C1/C2), essential for fluent communication with foreign parent companies operating in the ZEC.

Hard Skills: Absolute technical mastery of the Spanish Capital Companies Act and polished contract drafting skills.

Soft Skills: Hunter/Farmer mindset (identifying new business opportunities), leadership, excellent client focus, and high resilience/ability to work under pressure during deal closings.

Benefits and conditions

Competitive Compensation.

Career Path: Real and merit-based progression in the short/medium term towards the level of Principal.

Lifestyle Fit: An ideal opportunity for professionals seeking to "step off the treadmill" of major cities like Madrid or Barcelona to gain an exceptionally high quality of life in Tenerife, while still managing highly complex technical transactions and intangibles.

Location: Santa Cruz de Tenerife.
