What you'll do

As part of the commercial law/M&A team at our Valencia office, your main responsibilities will be:

  • Comprehensive advisory services on mergers and acquisitions (M&A) transactions, both share deals and asset deals, at the national and international level.
  • Leading and coordinating legal due diligence processes, including preparing and reviewing reports and identifying contingencies.
  • Negotiating and drafting the typical contractual documentation for transactions: letters of intent (LOI/MOU), confidentiality agreements (NDA), share purchase agreements (SPA), shareholders' agreements, investment agreements, and closing documentation.
  • Advisory services on corporate restructuring transactions (mergers, demergers, contributions of business lines, transformations).
  • Recurring commercial advisory services: corporate governance, shareholders' meetings and boards of directors, corporate secretarial duties, capital increases and reductions.
  • Advisory services on private equity, venture capital, and financing rounds.
  • Coordination with other firm practice areas (tax, labor, regulatory, Strategy and Transactions) and with foreign law firms on cross-border transactions.
  • Direct management of client relationships and supervision of the work of junior lawyers on the team.

What we're looking for

Essential requirements:

  • Bachelor's degree or equivalent in Law (a dual degree in Law and Business Administration/Economics will be valued).
  • Master's degree for admission to the Bar and active bar membership.
  • Between 5 and 8 years of experience in the Commercial and M&A practice area at a prestigious firm (preferably an international firm or a legal Big Four).
  • Demonstrable experience leading due diligence processes and actively participating in the negotiation of SPAs and shareholders' agreements.
  • High level of English, both written and spoken (minimum C1); other languages will be valued.
  • Proficiency in the Microsoft Office suite and document management tools.

Nice to have

  • Specialized master's degree in Business Law, Corporate Law, or M&A.
  • Experience in private equity, venture capital, or venture capital transactions.
  • Knowledge of the business landscape in the Valencian Community.
  • Experience working in multidisciplinary environments and on cross-border transactions.
