About the role

At Grupo Empresarial Enhol, we are looking for a Legal profile to join the corporate department, with 1 to 3 years of experience in the required functions.

What you'll do

  • Commercial Contracting
    • Advisory, review, preparation, drafting, negotiation, and closing (as well as post-closing actions) of both national and international contracts specific to the sector.
    • Identify and assess contractual risks, proposing effective mitigation strategies.
    • Support the contractual structuring of new projects, identifying legal risks and proposing solutions aligned with business objectives.
  • M&A and Corporate Operations
    • Participate in project purchase and sale transactions.
    • Coordinate and review due diligence processes.
    • Support negotiation processes for tenders, letters of intent, offers, SPAs, shareholders' agreements, joint venture agreements, and other corporate transaction documentation.
    • Provide support in corporate reorganization processes of the Group: mergers, demergers, contributions of business units, and incorporation of investment vehicles.
  • Financing
    • Support project finance and corporate finance operations: review and support negotiation of term sheets, financing agreements, intercreditor agreements, derivatives, security interests (pledges over shares, accounts, and receivables, mortgages, etc.), and personal guarantees.
    • Coordinate with lenders' legal counsels and with notaries and registries. Process first-demand guarantees, suretyships, and parent company guarantees.
  • International Expansion and Entry into New Countries
    • Actively participate in the processes of entering new jurisdictions where the Group decides to establish itself, supporting the business from initial analysis through to the launch of local operations.
    • Analysis of the local regulatory, commercial, and energy framework, foreign investment regulations, and restrictions on asset ownership.
    • Support the selection and hiring of local legal counsels, negotiation of engagement letters, and supervision of their work.
    • Collaborate in defining the entry corporate structure (local vehicle, intermediate holding, branch, joint venture with a local partner), in coordination with local advisors, for the incorporation of subsidiaries and branches, opening bank accounts, obtaining local tax IDs/identifiers, powers of attorney, and legalizations.
  • Corporate Law, Corporate Governance, and Compliance
    • Secretarial duties: convening meetings, drafting minutes, certifications, preparing corporate resolutions, maintaining corporate books, etc., and filing annual accounts.
    • Support the Group's Compliance program: updating risk maps, policies, procedures, and internal training.
    • Coordinate and supervise external legal counsels, both national and international, managing fees and their performance.

Education & certifications

  • Degree in Law, Double Degree, or Law + Business Administration or similar.
  • A master's degree or postgraduate studies in corporate law or business is a plus.
  • Studies related to the energy sector are a plus.

Requirements

  • 1-3 years of experience performing the following functions, preferably in energy companies.
  • A C1 level of English is mandatory. Other languages are a plus.
  • Proactive, team player, and results-oriented.
