You will be part of the Tax area within the M&A group, where our professionals perform advisory functions within the framework of acquisitions and corporate restructurings.

What you'll do

  • Pre-transaction analysis, analyzing existing tax attributes and the possibility of providing tax value.
  • Design of the tax structure, through the identification of different implementation and financing alternatives.
  • Tax due diligence analysis of the company/companies subject to the transaction, in order to determine the possible existence of significant tax risks that could jeopardize the transaction ("deal breakers").
  • Support and advice from a tax perspective in the review of transactional documents.
  • Implementation of the acquisition structure and supervision of compliance with the obligations required by said implementation.
  • Analysis of different integration strategies and recurring post-transaction advice.
  • Global advice to our clients with international projection, aimed at detecting tax optimization opportunities and identifying the risks of incurring excessive taxation.
  • Avoidance of international double taxation situations that could derive from the current BEPS (Base Erosion and Profit Shifting) project led by the OECD, while also identifying those possible tax efficiency opportunities that may derive from BEPS.
  • Our international taxation professionals collaborate closely with the due diligence teams to provide our clients with complete advice and a joint, coordinated service in these situations of special significance.
  • Finally, in projects with an international dimension, the support of our global network allows for the presentation of tax-efficient investment structure alternatives, analyzing, in a coordinated manner, the implications in the relevant jurisdictions in each case, as well as performing tax reviews ("due diligences") of multinational groups.
