The role

From the FIG (Financial Institutions Group) Transaction Services team within the Deal Advisory area at KPMG, we provide comprehensive financial advisory in the context of company buy-side and sell-side transactions. We are a consolidated and recognized team in the financial sector, collaborating with the leading financial entities, insurance entities, asset managers, Private Equity funds and private markets, and payment entities operating in Spain.

Our day-to-day consists of performing both buy-side and sell-side financial due diligence, and the preparation and review of financial carve-outs. Our interlocutors are the Finance, Strategy, Corporate Development departments and the Investment teams of our clients. You will have direct interaction with Investment Bankers in charge of the sell-side mandates of the companies subject to transaction. Our global network of firms allows us to offer deep knowledge and experience in markets all over the world.

The services we offer are tailored based on which side of the transaction we are positioned on, with the most frequent ones including the following:

  • Seller: Vendor Assistance and Vendor Due Diligence.
  • Buyer: Financial Due Diligence
  • Critical review of the main aspects affecting company value
  • Preparation of financial analyses, mainly: profit and loss analysis, Quality of earnings, liquidity position, understanding of cash flows, financial debt, capital structure, quality of assets and liabilities, regulatory capital requirements, analysis of financial projections and financial risks.

In summary, providing a clear and objective view of the company's financial situation, helping buyers, sellers, investors or lenders to better negotiate the transaction terms. Likewise, analysis of price adjustment mechanisms in a transaction and SPA advisory.
