About the role

We are currently looking for a Legal Counsel for comprehensive legal advisory services to the organization in Spain, especially to the teams of the different Renewable Energy business lines (development, procurement, construction, project development, asset management, and others).

Their main responsibilities will be:

What you'll do

  • Drafting and negotiating EPC contracts, Balance of System (BOS), Turbine Supply Agreements (TSA), Balance of Plant (BOP), contracts for the supply of main equipment (supply of photovoltaic panels, trackers, inverters, wind towers, and transformers) and O&M contracts for wind farms, photovoltaic plants, storage facilities, and other projects.
  • Reviewing financing contracts (Project Finance), refinancing, hedging, and ancillary guarantees.
  • Drafting and negotiating construction contracts, supply, and operation of common evacuation infrastructure.
  • Preparing, drafting, and negotiating bank guarantees and corporate warranties within the framework of construction and supply contracts for renewable energy projects.
  • Risk analysis for the company and preparation of risk matrices. Identifying acceptable and unacceptable risks and measures to mitigate them.
  • Coordinating with contract management, project management, and asset management teams during the execution phase.
  • Monitoring, drafting, negotiating, and reviewing claims.
  • Studying interpretations of contractual clauses.
  • Monitoring potential contract breaches, tracking deadlines from a legal perspective, knowledge and implementation of contractual mechanisms available to the developer, and extra-contractual mechanisms derived from local legislation.
  • Managing local and international law firms.
  • Ensuring compliance with corporate regulations and compliance within the contractual framework of the projects.
