Job Objective:

At RCD, we are looking to hire a commercial lawyer with 1-3 years of experience to join our Innovation, Venture Capital, and M&A team. The successful candidate will work advising technology and biotechnology startups, companies with a strong technological component, and venture capital entities on matters of M&A, corporate law, and commercial contracting, with constant exposure to documentation, negotiations, and communications in English.

What you'll do

Main Functions:

You will participate in the legal advisory of high value-added operations, including funding rounds, investment agreements, shareholders' agreements, and related corporate documentation. You will also intervene in corporate and contractual advisory, including collaboration, distribution, and agency contracts, contractual joint ventures, terms and conditions, and other commercial agreements. Additionally, you will be part of mergers and acquisitions operations, including due diligence processes, asset sales, acquisition of interests or shares, and business sales, as well as the design and implementation of incentive and remuneration plans.
