M&A Manager in Madrid

Multinational company in full growth and specialized in energy transition projects, sustainable mobility, infrastructure, and technology is looking to hire an M&A Manager to strengthen its corporate Strategy and Finance team. The position will be based in Madrid.

• Previous experience in Transaction Services, M&A, Corporate Finance, or Valuation.
• Experience in due diligence processes, very high level of English.

• Lead financial due diligence processes in buy-side and sell-side transactions, analyzing EBITDA, net financial debt, working capital, cash flow, and key valuation metrics.
• Actively participate in M&A processes, advising on closing mechanisms, price adjustments, and review of purchase and sale agreements.
• Provide support in Vendor Assistance projects, preparing financial information and anticipating risks during divestment processes.
• Collaborate on the design, planning, and implementation of spin-off and reorganization processes.
• Analyze business plans and financial projections, identifying risks, opportunities, and potential value creation levers.
• Develop and oversee complex financial models for Corporate Finance and Project Finance transactions.
• Lead corporate financing and structured financing processes for the group's various projects and entities.
• Coordinate competitive processes with banks, debt funds, institutional investors, and financial institutions.
• Negotiate term sheets, financial covenants, and key commercial terms of transactions.
• Participate in refinancing, hybrid financing, mezzanine, and Project Finance structures.
• Lead investor relations and capital increase processes to support the group's growth.
• Prepare investor materials, strategic analyses, business plans, and economic viability studies.
• Perform financial monitoring of projects, covenant tracking, and reporting to management, financiers, and investors.
• Support the definition and implementation of corporate strategy, identifying inorganic growth opportunities and value creation initiatives.

• Degree in Business Administration, Economics, Finance, Engineering, or a related field.
• Minimum of 3-5 years of experience in Transaction Services, Corporate Finance, M&A, Valuations, Debt Advisory, or related areas.
• Experience gained at Big Four firms, Corporate Finance boutiques, financial institutions, or companies with high transaction activity.
• Strong knowledge of financial analysis, business valuation, and financing structures.
• Advanced financial modeling skills and business plan preparation.
• Experience coordinating due diligence processes and negotiating with external advisors.
• Ability to manage multiple projects simultaneously in highly demanding environments.
• Excellent analytical, communication, and presentation skills.
• Advanced level of English (minimum C1).
• Valuable experience in the energy, infrastructure, mobility, or real assets sectors.
